Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the Toggly application and related services ("Service"), available on iOS, Android, and Web. By using Toggly, you agree to these Terms.

• "App" — the Toggly mobile application (iOS, Android) and web application
• "User" or "You" — any person who uses the App
• "Account" — your individual Toggly account
• "Board" — a shared workspace where Users collaborate
• "Pro" — the paid subscription tier with additional features
• "Content" — any data, text, or information you enter into the App (tasks, lists, expenses, notes, etc.)

3. Account Registration

3.1. You may create an account using your email address, Apple ID, or Google account.

3.2. You are responsible for maintaining the security of your account and for all activity that occurs under it.

3.3. You must provide accurate information during registration.

3.4. One account per person. Creating multiple accounts to circumvent limits is not permitted.

3.5. Guest mode: You may use Toggly without an account in guest mode. Guest data is stored locally on your device only. Some features require an account.

4. Acceptable Use

4.1 Permitted Use

• Personal productivity and household management
• Sharing boards with family members, housemates, or small teams
• Any use consistent with the App's intended purpose

4.2 Prohibited Use

You may not:

• Use the App for any illegal purpose
• Attempt to gain unauthorized access to the App or its systems
• Reverse engineer, decompile, or disassemble the App
• Use the App for commercial purposes without our written consent
• Upload or transmit harmful, offensive, or illegal content
• Interfere with or disrupt the App's operation
• Share your account credentials with others
• Use automated tools (bots, scrapers) to access the App

5. Your Content

5.1. You retain ownership of all Content you create in the App.

5.2. You grant us a limited license to store, process, and display your Content solely for the purpose of providing the Service.

5.3. You are solely responsible for the accuracy and legality of your Content.

5.4. You can export your data at any time using the Export feature in the App. JSON backup export is always available for free.

5.5. We do not access, review, or use your Content for any purpose other than providing and maintaining the Service.

6. Shared Boards and Collaboration

6.1. When you create or join a Board, other members of that Board can view and modify shared Content.

6.2. The Board owner can invite or remove members and manage Board settings.

6.3. You may leave a Board at any time. Your contributed Content will remain on the Board after you leave.

6.4. The Board owner may delete the Board, which removes all associated Content for all members.

7. Pro Subscription

7.1 Payments

• Pro subscriptions are processed through Apple App Store or Google Play Store
• Pricing is displayed in the respective app store
• Subscriptions renew automatically unless cancelled

7.2 Cancellation

• You can cancel your subscription at any time through your Apple or Google account settings
• Access to Pro features continues until the end of the current billing period
• No refunds for partial billing periods (refund policies are governed by Apple/Google)

7.3 Price Changes

• We will notify you at least 30 days before any price increase
• You may cancel before the new price takes effect

7.4 Free Features

Core features of Toggly are available for free, subject to usage limits. Pro unlocks additional features and removes certain limits. Details of included features are available in the App.

8. Free Tier Limits

Free accounts are subject to usage limits (e.g., number of boards, members per board, lists, tags). Current limits are displayed in the App and may be adjusted from time to time. We will notify you of significant changes to free tier limits.

9. Service Availability

9.1. We strive to keep the Service available at all times but do not guarantee uninterrupted access.

9.2. We may perform maintenance that temporarily affects availability. We will provide advance notice when possible.

9.3. We are not liable for any loss arising from temporary unavailability of the Service.

10. Disclaimer of Warranties

10.1. The Service is provided "as is" and "as available" without warranties of any kind, express or implied.

10.2. We do not warrant that the Service will be error-free, secure, or uninterrupted.

10.3. Toggly is a productivity tool. We are not responsible for any financial, personal, or other decisions you make based on data entered into the App. Expense tracking in Toggly is for personal reference only and does not constitute financial advice.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

11.1. We are not liable for any indirect, incidental, special, consequential, or punitive damages.

11.2. We are not liable for any loss of data beyond our reasonable control (e.g., device failure, third-party service outages).

11.3. Our total liability shall not exceed the amount you have paid us in the 12 months preceding the claim.

11.4. Nothing in these Terms limits liability for fraud, gross negligence, or death or personal injury caused by our negligence.

12. Intellectual Property

12.1. The App, its design, code, trademarks, and all related intellectual property are owned by Golinski Ventures sp. z o.o.

12.2. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose.

12.3. You may not copy, modify, distribute, sell, or create derivative works based on the App.

13. Account Termination

13.1 By You

You may delete your account at any time from the App (Profile > Delete Account). Upon deletion, all your personal data will be permanently removed within 30 days.

13.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Use the App for illegal purposes
• Abuse the Service or its infrastructure

We will provide notice before termination when reasonably possible.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.

15. Changes to These Terms

15.1. We may update these Terms from time to time.

15.2. For significant changes, we will notify you at least 30 days in advance through the App or by email.

15.3. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15.4. If you do not agree to the updated Terms, you may delete your account.

16. Governing Law and Disputes

16.1. These Terms are governed by the laws of Poland.

16.2. Any disputes shall be resolved by the courts of Łódź, Poland.

16.3. If you are a consumer in the EU, you retain any mandatory consumer protection rights granted by the laws of your country of residence.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
